Climate disclosure
HKEX climate rules are not one-size-fits-all. They are layered by issuer type. HKEX Appendix C2 climate requirements and HKFRS S1/S2 are two parallel tracks — do not treat them as the same regime.
Track A — HKEX climate rules (Appendix C2)
Already in force for reporting periods from 2025. Layered by issuer: LargeCap must disclose in full; other Main Board issuers must disclose Scope 1 and 2, with other climate items on a comply-or-explain basis; GEM remains voluntary.
Track B — HKFRS S1 / S2 (ISSB-aligned SDS)
Effective 1 August 2025 for voluntary adoption, fully aligned with ISSB IFRS S1 and S2. Large public interest entities (Large PAEs) are expected to apply HKFRS SDS in full no later than 2028. Large PAEs means (a) Hang Seng Composite LargeCap constituents and (b) unlisted financial institutions with significant influence in Hong Kong.

Every Main Board issuer — large or small — must disclose Scope 1 and 2 from FY2025. Only LargeCap must make the full climate package mandatory. Other Main Board issuers may still explain rather than fully disclose governance, strategy, risk management, and metrics and targets.
The new climate requirements correspond to IFRS S2 pillars: governance, strategy, risk management, and metrics and targets. Scope 1 and 2 are mandatory for all Main Board issuers. Scope 3 is phased. Other climate items are mandatory only for LargeCap; remaining Main Board issuers use comply or explain.
HKFRS S1 and S2 may be applied voluntarily from this date and are fully aligned with ISSB IFRS S1 and S2. This is separate from the HKEX Appendix C2 climate rules already in force.
Large public interest entities must fully adopt HKFRS SDS. This includes Hang Seng Composite LargeCap constituents and unlisted financial institutions with significant influence in Hong Kong.
The revised Corporate Governance Code took effect on 1 July 2025. Work through the checklist below, then open each item for the rule, timing and what to do next.
CG Code readiness checklist
New Rules 3.09F/G require all directors to receive continuing professional development each financial year. A first-time director must complete 24 hours of training within 18 months of appointment.
The new rules cap INED tenure at nine years, phased in over a six-year transition. An independent director who has already served more than nine years will no longer be treated as independent.
New Main Board Rule 3.12A / GEM Rule 5.07A limits an INED to six Hong Kong listed company directorships. Those who still exceed the cap must step down in stages before the first annual general meeting on or after 1 July 2028.
Where the chair is not an independent director, it is a recommended best practice to appoint a Lead INED as the bridge for shareholders and other directors. If the chair is already an INED, a Lead INED is not required. Changes must be reflected in the directors list and role disclosures.
A formal board performance review is required at least every two years. The corporate governance report should disclose whether it was internal or external, the method, key findings and improvement actions. This is a core AMMO advisory offering.
Mainland China is building a unified sustainability disclosure system in phases, moving from voluntary to mandatory, large enterprises to small, and qualitative to quantitative requirements, with full national coverage targeted by 2030. For A+H and dual-listed issuers, the near-term milestones below determine when Mainland obligations start running on a separate clock from HKEX Part D.
SSE, SZSE and BSE sustainability reporting guidelines apply to designated index constituents and dual-listed companies.
The Ministry of Finance sustainability disclosure standards (CSDS) are aligned with IFRS S1.
Designated issuers must publish 2025 sustainability reports by 30 April 2026.
The roadmap extends to large unlisted enterprises by 2030.
